They have to sell. At this point it's a matter of how much this goof Tim Carey thinks the track is worth vs what Caesars/Harrah's is offering. At nearly the last minute Carey believed the value was higher and tried to keep more control. The fact is he's gone no matter what. He can roam around an empty building that's 1/2 destroyed and still think he's a big shot or just get what he can for the cousins and other family who own shares.
